CLIPPER TERMS AND CONDITIONS

These Clipper Terms and Conditions ("Clipper Terms") govern participation in Clip Central's clipping, publisher, creator, and content distribution network.
By participating in a Clip Central campaign or accepting a campaign assignment, you agree to these Clipper Terms.
1. Independent Contractor Relationship
Clippers, publishers, creators, editors, and account operators participating in Clip Central campaigns are independent contractors.
Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Clip Central and a Clipper.
You are responsible for your own taxes, equipment, internet access, accounts, and business expenses.
2. Campaign Participation
Clip Central may offer campaigns to eligible Clippers.
Each campaign may include specific requirements regarding:
Content;
Platforms;
Posting frequency;
Approved messaging;
Brand guidelines;
Deadlines;
Required disclosures;
Compensation;
Prohibited content;
Reporting requirements.
You may accept or decline individual campaigns unless otherwise agreed.
3. Content Standards
You agree that all campaign content must:
Follow the campaign brief;
Follow applicable platform rules;
Follow applicable advertising and disclosure requirements;
Avoid misleading claims;
Avoid impersonation;
Avoid deceptive engagement practices;
Avoid unauthorized use of third-party intellectual property;
Meet Clip Central's brand-safety requirements.
4. Brand Safety
Clip Central may remove a Clipper from a campaign or network if the Clipper's account, content, behavior, or audience creates a material brand-safety concern.
Prohibited conduct may include posting campaign content alongside extremist, hateful, sexually explicit, illegal, fraudulent, or otherwise inappropriate material.
Clip Central may make reasonable decisions regarding publisher eligibility and brand safety.
5. Account Ownership
Unless otherwise agreed in writing, Clippers retain ownership of their pre-existing social media accounts.
If Clip Central creates or funds a dedicated campaign account, ownership and control of that account will be determined by the applicable campaign agreement.
You may not sell, transfer, lease, or materially alter a campaign-specific account in a manner that interferes with an active campaign without Clip Central's approval.
6. Intellectual Property
You retain ownership of original content you independently create except where a separate written agreement provides otherwise.
By participating in a campaign, you grant Clip Central and the applicable client the rights necessary to use, reproduce, display, distribute, report on, and otherwise administer campaign content as specified by the campaign terms.
You represent that you have the necessary rights to any material you submit.
7. Compensation
Compensation will be determined by the applicable campaign.
Compensation may be based on:
Views;
Posts;
Engagement;
Fixed campaign fees;
Performance milestones;
Other campaign-specific metrics.
Clip Central is not responsible for compensation resulting from fraudulent, artificially generated, deleted, invalid, or otherwise disqualified traffic or engagement.
8. Reporting
You may be required to provide screenshots, URLs, analytics, account information, view counts, or other reporting data.
Failure to provide required reporting may delay or prevent payment.
9. Platform Compliance
You must comply with the terms, policies, and community guidelines of every platform on which campaign content is published.
Clip Central does not encourage behavior intended to manipulate platform systems or evade platform enforcement.
10. Confidentiality
Campaign details, client identities, rates, briefs, publisher lists, internal communications, and other non-public information provided by Clip Central are confidential.
You may not disclose confidential campaign information publicly without written permission.
11. Removal of Content
Clip Central or the client may request that campaign content be removed, edited, corrected, or otherwise modified where reasonably necessary.
You agree to comply with reasonable removal requests relating to campaign content.
12. Suspension
Clip Central may suspend or terminate your participation if you:
Violate these Terms;
Submit fraudulent metrics;
Use bots or artificial engagement;
Violate platform rules;
Publish prohibited content;
Misrepresent campaign performance;
Create material brand-safety risk;
Misuse confidential information;
Engage in unlawful conduct.
13. No Guaranteed Campaign Volume
Participation in the network does not guarantee any minimum number of campaigns, assignments, views, or earnings.
14. Taxes
You are responsible for all taxes associated with compensation received through Clip Central, except taxes that Clip Central is legally required to withhold.
